1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PartHubz Inc. ("PartHubz," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, Canada, with its registered office in Burnaby, British Columbia.
By accessing our website at parthubz.com, creating an account, placing an order, or otherwise using our services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.
If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Your continued use of our Services after any modification constitutes acceptance of the revised Terms.
2. User Accounts
To access certain features of our Services, including placing orders, tracking shipments, and managing your equipment, you may be required to create a PartHubz account.
- Eligibility: You must be at least 18 years of age or the age of majority in your province or territory of residence to create an account and make purchases.
- Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
- Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
- One Account Per Person: Each individual or business entity may maintain only one account unless otherwise authorized by PartHubz.
- Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms, fraudulent activity, or prolonged inactivity.
3. Products & Pricing
PartHubz is a Canadian-owned supplier of commercial kitchen equipment parts. We source genuine OEM (Original Equipment Manufacturer) parts from authorized distributors and manufacturers.
- Product Descriptions: We strive to ensure that all product descriptions, specifications, and images on our website are accurate. However, we do not warrant that product descriptions, images, or other content on the website are entirely error-free, complete, or current. If a product you receive differs materially from its description, your sole remedy is to return it in accordance with our Return Policy.
- Pricing: All prices are displayed in Canadian Dollars (CAD) and are subject to change without prior notice. Prices do not include applicable taxes (GST, HST, PST, QST) or shipping charges, which will be calculated at checkout. See our Taxes & Fees page for province-specific tax rates.
- Pricing Errors: In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price. If your order has already been charged, we will issue a full refund and notify you of the error.
- Availability: All products are subject to availability. We do not guarantee that any product listed on our website will be in stock at the time of your order. If a product is unavailable, we will notify you promptly and offer alternatives or a full refund.
- Warranty:All products are covered by the manufacturer's warranty only. PartHubz does not provide any additional warranty beyond what is offered by the original manufacturer. Warranty claims should be directed to the manufacturer or coordinated through our customer support team.
4. Orders, Payment & Cancellation
4.1 Placing Orders
By placing an order through our website, you are making an offer to purchase the selected products. All orders are subject to acceptance by PartHubz. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity.
An order confirmation email does not constitute acceptance of your order. Your order is accepted only when the product has been shipped and a shipping confirmation has been sent to you.
4.2 Payment
- Payment Methods: We accept major credit cards (Visa, Mastercard, American Express) and other payment methods as displayed at checkout. All payments are processed securely through Stripe.
- Authorization: By providing your payment information, you authorize PartHubz and Stripe to charge the total amount of your order, including applicable taxes and shipping charges.
- Currency: All transactions are processed in Canadian Dollars (CAD). If you are paying with a card issued in a different currency, your bank may apply currency conversion fees.
- Invoicing: For approved business accounts, we may offer invoicing with net payment terms. Terms are established on a case-by-case basis. Contact [email protected] for inquiries.
4.3 Order Cancellation
You may cancel an order at no charge provided the order has not yet been processed for shipping. Orders typically begin processing within 1–2 business days. To request a cancellation, contact us immediately at [email protected] or call 833-700-8006. Once an order has shipped, cancellation is not possible. You may instead initiate a return in accordance with our Return Policy.
5. Shipping & Delivery
PartHubz ships to all Canadian provinces and territories. For full details on shipping methods, timeframes, and rates, please visit our Shipping Policy page.
- Carriers: We ship via FedEx, UPS, Purolator, and Canada Post. The carrier is selected based on the fastest and most reliable option for your destination.
- Delivery Times: Standard shipping takes 4–7 business days; Express shipping takes 2–3 business days. Delivery to Northern Territories (NT, NU, YT) may take longer.
- Shipping Rates: Rates are calculated at checkout based on package weight, dimensions, and destination postal code. PartHubz does not offer free shipping.
- Risk of Loss: Title to and risk of loss for products passes to you upon delivery to the shipping carrier. PartHubz is not responsible for loss or damage during transit, but we will assist you in filing a claim with the carrier if necessary.
- Delivery Issues: If your order is not received within the expected timeframe, contact us at [email protected] and we will investigate.
6. Returns & Refunds
Returns are subject to our Return Policy, which is incorporated into these Terms by reference. Key provisions include:
- Returns must be initiated within seven (7) days of delivery.
- Items must be unused, in original packaging, and accompanied by proof of purchase.
- A 25% restocking fee applies to all returned items.
- Return shipping costs are the customer's responsibility.
- Non-returnable items: Electrical parts, installed parts, items ordered in error by the customer, and custom-order items.
- Damaged or defective items: Must be reported within 24 hours of delivery with supporting photographs.
Refunds will be processed within 5–7 business days after we receive and inspect the returned item. Refunds are issued to the original payment method, less the restocking fee and any return shipping costs.
7. Intellectual Property
All content on the PartHubz website, including but not limited to text, graphics, logos, images, icons, photographs, audio and video clips, data compilations, software, and the overall design and layout of the website (collectively, the "Content"), is the property of PartHubz Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
- The PartHubz name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PartHubz Inc. You may not use these marks without our prior written consent.
- You may view, download, and print pages from our website for your personal, non-commercial use, provided you do not modify the Content and retain all copyright and proprietary notices.
- Any unauthorized reproduction, distribution, modification, display, or creation of derivative works from our Content is strictly prohibited and may result in civil and criminal penalties.
- Product names, brand names, and manufacturer logos displayed on our website are the trademarks of their respective owners and are used for identification purposes only. PartHubz is not affiliated with or endorsed by these manufacturers unless explicitly stated.
8. Limitation of Liability
Important: This section limits our legal liability. Please read carefully.
To the maximum extent permitted by applicable law:
- Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- PartHubz does not warrant that our website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- In no event shall PartHubz, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of our Services, regardless of the theory of liability.
- Our total aggregate liability for any and all claims arising out of or in connection with these Terms or your use of our Services shall not exceed the total amount paid by you to PartHubz during the twelve (12) months immediately preceding the event giving rise to the claim.
- PartHubz is not liable for any damages resulting from the use, installation, or failure of products purchased through our Services. All products carry manufacturer's warranty only, and warranty claims should be directed to the respective manufacturer.
- We are not liable for any delays, failures, or errors resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, supply chain disruptions, government actions, or carrier delays.
9. Indemnification
You agree to indemnify, defend, and hold harmless PartHubz Inc., its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to our Services;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of any rights of a third party;
- Any misrepresentation made by you;
- Any improper use, installation, or modification of products purchased through our Services that results in property damage, personal injury, or other harm.
This indemnification obligation shall survive the termination of these Terms and your use of our Services.
10. Governing Law
These Terms and any disputes arising out of or in connection with these Terms or your use of our Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia, located in the City of Vancouver, for the resolution of any disputes arising out of or relating to these Terms. You waive any objection to the exercise of jurisdiction by such courts and any objection to venue in such courts on the basis of inconvenient forum.
11. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services, the parties agree to first attempt to resolve the matter through good-faith negotiation.
- Informal Resolution: Before initiating any formal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to respond within fourteen (14) business days.
- Mediation: If the dispute cannot be resolved informally within thirty (30) days, either party may submit the dispute to mediation administered by a mutually agreed-upon mediator in Vancouver, British Columbia. The costs of mediation shall be shared equally by the parties.
- Litigation: If mediation is unsuccessful, either party may pursue resolution through the courts of British Columbia as set forth in Section 10.
- Small Claims:Nothing in this section prevents either party from seeking relief in small claims court for disputes within the court's jurisdictional limits.
12. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, Return Policy, and Shipping Policy, constitute the entire agreement between you and PartHubz regarding the use of our Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- Waiver: The failure of PartHubz to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative of PartHubz.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of PartHubz. PartHubz may assign its rights and obligations under these Terms without restriction.
- Force Majeure: PartHubz shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, governmental actions, labour disputes, supply chain disruptions, or carrier failures.
- Language: These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
- Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
